A sound-proof structure in a power unit in which a transmission case (71) forming a storing chamber (70) storing a transmission (M) is cooperatively arranged at an engine main body (11) in such a way that it may cover a part of said engine main body (11) from a side portion and extend up to a driving wheel (WR) and a sound-proof cover (129) covering an outer side face of said transmission case (71) is fixed to the transmission case (71). Characterized in that sound-proof members (137 to 140) defining a space between said transmission case (71) and said sound-proof cover (129) into a plurality of space including at least one closed space (134 to 136) are arranged between said transmission case (71) and said sound-proof cover (129).
